Who This Agreement Is With

This agreement is between Iltronic, [ADDRESS] ("Iltronic", "we" or "us"), the company that owns and operates HelTrack, and the person or company accepted into the HelTrack Partner Program ("you" or the "Partner"). It applies together with the Terms of Service and the Privacy Policy. If they conflict on a partner matter, this agreement controls.

Joining the Program

  • You apply on the public partner page (Become a Partner). We review every application and may accept or decline it at our discretion.
  • When we accept you, we tell you your partner type (affiliate, reseller, vendor or influencer) and your commission or discount terms in writing, by email or in the partner portal.
  • You must give accurate details and keep them current, including your payout and tax information.

Promo Codes and Share Links

  • We give you one or more promo codes and share links. A company that registers for HelTrack with your code or link is attributed to you. Each company is attributed once, to one source.
  • A sign-up is not eligible if it is you or your own business (the same email, company domain or phone number), or if we reasonably believe it is fraudulent, incentivized in a way this agreement does not allow, or not a genuine new customer.
  • You may not bid on HelTrack brand terms in paid search, pretend to be Iltronic or HelTrack, send unsolicited bulk messages (spam), or make claims about HelTrack that are not true.
  • You must clearly and conspicuously disclose your relationship with HelTrack wherever you promote it, close to the recommendation itself (for example "I earn a commission if you sign up with my code"), as the U.S. Federal Trade Commission's Endorsement Guides and similar rules in other countries require.
  • You may not list or publish your codes on coupon, voucher, deal or cashback sites, or in browser extensions that insert codes, unless we approve it in writing first.
  • You may not use "HelTrack", "Iltronic" or a confusingly similar name in a domain name, app name, social media handle or profile name, or use our logos except as we provide or approve.
  • You may not use cookie stuffing, forced clicks, hidden or automatic redirects, or any other method that attributes a sign-up to you without the customer knowingly using your code or link, and you may not refer yourself, your own business or your employer.
  • Email and text messages that promote HelTrack must follow the laws that apply to them, including the U.S. CAN-SPAM Act and Canada's Anti-Spam Legislation (CASL): send only to people who have agreed where consent is required, identify yourself, and honor unsubscribe requests.

Commission

  • Unless we agree otherwise in writing, you earn 20% of every subscription payment a customer attributed to you makes during the first 12 months after their first payment.
  • Commission is earned only on money we actually receive. Taxes, refunds, chargebacks, credits and discounts are not commissionable.
  • If a payment is refunded or charged back, the commission on it is cancelled. If it was already paid to you, we may deduct it from a later payout.
  • Commission rules in force when a customer first pays stay with that customer. A change to your terms applies to customers who have not paid yet.

Reseller Billing

This section applies only to partners we accept as resellers and who are billed for their customers.

  • We may agree that you are the billing owner of customers you bring to HelTrack. Those customers do not pay us; you pay us for them.
  • Each month we send you a statement for the customers billed through you: the list price of each customer's plan for the days they were billed through you, minus your wholesale discount (20% unless we agree otherwise in writing). You set the price you charge your customers.
  • You earn the wholesale discount instead of commission on those customers; you never earn both.
  • Statements are due within 15 days of the statement date (net 15, unless we agree a different number of days with you in writing) by ACH or bank transfer, or by card through a Stripe invoice we send you on request. If a statement is not paid on time, the HelTrack subscriptions of the customers billed through you may be limited, made read-only and then locked until it is paid, and we may suspend reseller billing.
  • If reseller billing ends for any reason, the customers billed through you may move to billing directly with us. They keep their HelTrack workspace and data, and we aim for no gap in service: the period already billed through you continues to its end (if the statement for it is paid), and the customer then pays us directly at our standard prices. We may contact those customers to arrange this.

Payouts

  • We pay commission monthly: commission earned in a calendar month is paid about 30 days after the end of that month (net 30), which leaves time for refunds and chargebacks. For example, commission earned in March is paid around the end of April.
  • We pay once your owed balance reaches USD 50 (or the equivalent in your payout currency). A smaller balance rolls over to the next month until it reaches that amount.
  • We pay by ACH or bank transfer, or by PayPal, to the account you give us. You are responsible for any fees your bank or payment provider charges, and for giving us correct payout details.
  • The partner portal shows your sign-ups, commission earned, owed and paid, and your payouts. Our records are the basis for payment; tell us in writing within 60 days of a payout or statement if you believe it is wrong. After that it is final, except for errors caused by fraud.

Taxes

  • You are responsible for taxes on what you earn.
  • United States partners must give us a completed IRS Form W-9 before your first payout, whatever the amount. We keep only the date we received it and the last four digits of your taxpayer identification number in HelTrack; the form itself is kept in Iltronic's secure document storage, outside HelTrack, with access limited to the people who handle payouts and tax filings. If the payments we make to you in a calendar year reach the IRS reporting threshold for that year ($600 for payments made through 2025; $2,000 for payments made from 2026, adjusted for inflation after 2026), we send you a Form 1099-NEC (or the form the law then requires).
  • Partners outside the United States give us IRS Form W-8BEN (individuals) or Form W-8BEN-E (companies and other entities) before the first payout, and any form their own country requires. We may withhold taxes where the law requires.

Partner Portal

  • You sign in to the partner portal with a one-time link we email to your registered address. Keep access to that mailbox secure; anyone who can read it can sign in as you.
  • The portal is read-only. To change your payout or tax details, write to [email protected].

Customer Data and Confidentiality

  • Customers' HelTrack data belongs to them. You do not get access to it through the program. For the companies that joined with your codes, the portal shows you only masked company initials, the code used, sign-up dates, payment status and your own commission, never contact details, plans, the amounts customers paid or workspace data.
  • Keep our non-public information (commission terms, statements, product plans) confidential. If you are a reseller who also helps customers use HelTrack, you may only access a customer's workspace with that customer's own permission and account, under the Terms of Service.
  • You must follow the privacy and anti-spam laws that apply to your promotion.

Ending the Agreement

  • Either of us may end this agreement at any time with 30 days' written notice (email is enough). We may end it at once if you break it or act fraudulently.
  • When it ends, your codes and share links stop working for new sign-ups and your partner portal access ends.
  • Commission earned on payments we received before the end date is paid on the normal schedule (even below the minimum payout amount), unless it is reversed for a refund or chargeback, or the agreement ended for fraud or a serious breach. No commission is earned on payments we receive after the end date.
  • If you are a reseller, reseller statements already issued must still be paid by their due date, and customers billed through you move to direct billing as described in Reseller Billing.

Liability and General Terms

  • You are an independent contractor, not our employee, agent or partner in the legal sense, and you may not bind us.
  • Our total liability to you under this agreement is limited to the commission paid or owed to you in the 12 months before the claim.
  • We may change this agreement with 30 days' notice by email or in the portal. Continuing in the program after a change takes effect means you accept it.
  • This agreement is governed by [GOVERNING LAW]. Disputes go to [DISPUTE VENUE].
